Resolución General N° 11/2026: constituir sociedades es más simple, flexible y digital

El 22 de septiembre de 2026 se publicó en el Boletín Oficial la Resolución General N° 11/2026 de la Inspección General de Justicia (IGJ), vigente desde el 23 de septiembre. La norma modifica las Resoluciones Generales IGJ N° 15/2024 y N° 6/2017 y deroga las N° 3/2020 y N° 11/2024. Según sus fundamentos, la reglamentación debe limitarse a precisar la operatoria registral, sin agregar exigencias no previstas por la ley.

Síntesis de las principales novedades:

1. Dictamen de precalificación: optativo en la constitución
No se requiere dictamen de precalificación para la constitución de sociedades, aunque puede acompañarse para acreditar los recaudos que se consideren necesarios. Los trámites posteriores (reformas, designación y cese de administradores, variaciones de capital, cambio de sede, transmisión de cuotas, entre otros) requieren dictamen.

2. Sobre las SAS: un régimen único de constitución
Por el nuevo art. 52, las SAS se rigen por las mismas normas que el resto de las sociedades, tanto para su constitución como para sus reformas, sin perjuicio de las reglas especiales de la Ley N° 27.349 y de su propia reglamentación para otorgar, firmar y tramitar digitalmente sus instrumentos.

3. Socios:
La capacidad para constituir una sociedad se rige por la ley aplicable al tipo social. A los fines registrales solo se acreditan las facultades del mandatario; la existencia, inscripción, personería y facultades del apoderado de las personas jurídicas socias (las extranjeras, inscriptas en los términos de los arts. 118 o 123 de la Ley N° 19.550); y, si participan fiduciarios, la inscripción del contrato de fideicomiso. Estos recaudos pueden acreditarse mediante el dictamen de precalificación optativo.

4. Denominación social:
El nuevo artículo prevé la reserva preventiva de hasta tres denominaciones por 30 días, que se otorga sobre la primera disponible sin convalidarla. Al solicitar la inscripción debe acompañarse la constancia de reserva vigente.

5. Sede social y sede electrónica:
Si el acto constitutivo no consigna la sede social, puede fijarse por resolución del órgano de administración o de gobierno, en instrumento privado con firma certificada, digital o electrónica, o en instrumento público. Se incorpora la sede electrónica complementaria (un correo electrónico declarado), que una vez inscripta produce efectos frente a socios y terceros, sin sustituir la sede física.

6. Objeto social:
El objeto puede conformarse por una o más categorías de actividades expresadas en términos sectoriales o funcionales, sin exigir conexidad entre ellas, descripción de las actividades particulares ni adecuación del capital al objeto; no se exige que sea “preciso y determinado”. En las SAS se admite la fórmula «la realización de cualquier actividad lícita» o una equivalente.

7. Aportes dinerarios:
Se acreditan con comprobante de depósito o transferencia en cualquier entidad bancaria, manifestación del escribano autorizante o constancia del sistema informático en las constituciones digitales. Si el monto a integrar no supera dos Salarios Mínimos, Vitales y Móviles, basta una declaración jurada del administrador o de los socios, o un acta de recepción de los fondos firmada por el representante legal.

8. Aportes no dinerarios:
Un único art. 63 reemplaza a los arts. 63 a 68 de la RG 15/24. Salvo en las SAS, el valor del aporte se acredita conforme a los arts. 51 y 53 de la Ley N° 19.550. Además:

1) Bienes registrables: inscripción preventiva a nombre de la sociedad en formación y titularidad previa del aportante y valor del aporte acreditado (por valuación fiscal, tasación, entre otros).

2) Bienes muebles no registrables: inventario donde conste la existencia y ubicación del bien, firmado por el socio aportante y el administrador.

3) Títulos valores: individualización en el instrumento constitutivo y constancia de su transmisión a la sociedad y toma de posesión; si cotizan, basta indicar la fuente de la cotización.

4) Fondo de comercio: balance especial con informe de auditoría, inventario resumido, firmado por socio aportante y certificado por graduado en ciencias económicas y valuación.

5) Activos virtuales: individualización, titularidad previa, depósito en un PSAV registrado ante la CNV a nombre de los administradores y valuación contable certificada.

6) Participaciones sociales: solo se exige la valuación.

7) SAS: valor pactado unánimemente por los socios (art. 42, Ley N° 27.349), con los antecedentes que lo justifican bajo declaración jurada.

9. Cláusula arbitral:
Cualquier instrumento constitutivo puede incluir cláusulas arbitrales (art. 1649 CCCN), y puede pactarse que obliguen a la sociedad, a los socios y a los integrantes de los órganos sociales aun después de su cese o de perder la condición de socio. La IGJ publicará en su sitio web cláusulas modelo orientativas.

10. Documentación para inscribir la constitución:
Por el nuevo art. 74, se presenta el instrumento de constitución y, según el caso, la reserva de denominación vigente, el instrumento de fijación de sede, las aceptaciones de cargo, la documentación de integración de aportes, la constancia de publicación y las manifestaciones sobre PEP y RePET. La manifestación RePET puede constar en el instrumento, en el dictamen o en una declaración jurada del representante legal. El trámite pueden instarlo los mandatarios especiales, en su defecto los representantes designados o cualquier socio.

11. SAS: documentos registrables
Por el nuevo art. 7 de la RG 6/17, el instrumento constitutivo puede otorgarse por escritura pública, por instrumento privado con firmas certificadas (digitalizado y firmado digitalmente por quien certifica) o por documento electrónico con firma digital de todos los socios. La aceptación del cargo de los administradores puede surgir del propio instrumento, sin que deban firmarlo digitalmente.

Los actos posteriores se inscriben por escritura pública, por instrumento privado con firma digital o certificada del representante legal, mediante acta digital registrada en el Libro digital o con la transcripción de la parte pertinente del acta. Requieren dictamen de precalificación, salvo el aumento de capital inferior al 50% del capital inscripto (art. 44, Ley N° 27.349).

General Resolution No. 11/2026: Company Formation Is Simpler, More Flexible, and Digital

On September 22, 2026, General Resolution No. 11/2026 issued by the General Inspection of Corporations (GIC) was published in the Official Gazette, taking effect on September 23. The regulation amends GIC General Resolutions No. 15/2024 and No. 6/2017 and repeals General Resolutions No. 3/2020 and No. 11/2024. According to its recitals, regulations should be limited to specifying the registration procedures without imposing additional requirements not provided for by law.

Summary of Main Developments:

  1. Prequalification report: Optional Upon Formation

A prequalification report is not required for company formation, although it may be submitted to evidence compliance with any requirements deemed necessary. Subsequent filings, including amendments, the appointment and removal of directors or managers, capital increases or decreases, changes of registered office, and transfers of ownership interests, among others, require a prequalification report.

  1. SASs: A Single Formation Regime

Under the new Section 52, Simplified Joint Stock Companies (Sociedades por Acciones Simplificadas or SASs) are subject to the same rules as other types of companies, both for their formation and for amendments to their formation documents, without prejudice to the special rules set forth in Law No. 27,349 and its implementing regulations regarding the electronic delivery, signing, and filing of their documents.

  1. Shareholders/Members:

The capacity to form a company is governed by the law applicable to the relevant corporate entity type. For registration purposes, only the authority of the attorney-in-fact must be evidenced, as well as the existence, registration, legal standing, and authority of the attorney-in-fact of any legal entities that are shareholders/members (including foreign companies registered pursuant to sections 118 or 123 of Law No. 19,550). If trustees are involved, registration of the trust agreement must also be evidenced. Compliance with these requirements may be demonstrated through the optional prequalification report.

  1. Corporate name:

The new section provides for the reservation of up to three corporate names for a period of 30 days. Reservation is granted for the first available name without constituting final confirmation or validation of the name. When applying for registration, proof of the valid reservation must be submitted.

  1. Registered Office and Electronic Address:

If the formation documents do not specify the registered office, it may be established by resolution of the management or governing body via a private instrument with a certified, electronic, or digital signatures, or via a public instrument. A supplementary electronic address (a designated email address) is introduced; once registered, it produces effects vis-à-vis shareholders/members and third parties without replacing the physical registered office.

  1. Corporate Purpose:

The corporate purpose may consist of one or more categories of activities expressed in sector-specific or functional terms, without requiring any connection between them, a description of the specific activities, or that the capital be adequate to the corporate purpose. It is not required to be “precise and specific.” For SASs, the wording “the carrying out of any lawful activity” or equivalent wording is permitted.

  1. Cash Contributions:

Cash contributions may be evidenced by a deposit or transfer receipt issued by any bank, a statement by the authorizing notary, or a record generated by the information system in the case of digital company formations. If the amount to be contributed does not exceed two Minimum Living Wages (Salario Mínimo, Vital y Móvil), a sworn statement by the director/manager or shareholders/members, or a receipt of funds signed by the legal representative, will suffice.

  1. Contributions in Kind:

A single new Section 63 replaces Sections 63 to 68 of General Resolution No. 15/2024. Except in the case of SASs, the value of the contribution must be evidenced in accordance with Sections 51 and 53 of Law No. 19,550. In addition:

1) Recordable assets: temporary registration in the name of the company being formed, together with evidence of the contributor’s prior ownership and of the value of the contribution (via a tax assessment, appraisal, or other evidence).

2)  Non-recordable personal property: an inventory stating the existence and location of the property, signed by the contributing shareholder/member and the director/manager.

3) Securities: identification in the formation document and evidence of their transfer to the company and delivery of possession; if listed, indicating the quotation source is sufficient.

4) Going concern: a special balance sheet accompanied by an audit report, a summary inventory signed by the contributing shareholder/member and certified by a graduate in economic sciences, and a valuation.

5) Virtual assets: identification, evidence of prior ownership, deposit with a Virtual Asset Service Provider (PSAV) registered with the CNV (Argentine Securities and Exchange Commission) in the name of the directors/managers, and a certified accounting valuation.

6) Equity interests: only the valuation is required.

7) SASs: the value agreed unanimously by the shareholders/members (Section 42 of Law No. 27,349), together with the supporting documentation, submitted under a sworn statement.

  1. Arbitration Clause:

Any formation document may include arbitration clauses (Section 1649 of the Argentine Civil and Commercial Code) and may provide that such clauses shall be binding upon the company, its shareholders/members, and the members of its corporate bodies even after they cease to hold office or cease to be shareholders/members. The GIC will publish model clauses for guidance on its website.

  1. Documentation Required for Registration:

Under the new Section 74, the formation document must be submitted, together with, as applicable: the valid corporate name reservation, the instrument establishing the registered office, office acceptances, capital contribution documentation, evidence of publication, and PEP (Politically Exposed Persons) and RePET (Public Registry of Persons and Entities Connected to Terrorism and Terrorism Financing) statements. The RePET statement may be included in the formation document, the prequalification report, or a sworn statement by the legal representative. Registration applications may be filed by special attorneys-in-fact or, in their absence, by the designated legal representatives or any shareholder/member.

  1. SASs: Registrable Documents

Under the new Section 7 of General Resolution No. 6/2017, formation documents may be executed by notarial instrument, by private instrument with certified signatures (digitized and digitally signed by the certifying party), or by an electronic document bearing the digital signatures of all shareholders/members. The directors’/managers’ acceptance of office may be included in the formation documents without requiring their digital signature.

Subsequent acts are registered by notarial instrument, by private instrument bearing the legal representative’s digital or certified signature, by digital resolution recorded in the Digital Book, or by transcribing the relevant portion of the minutes. A prequalification report is required, except in the case of a capital increase of less than 50% of the registered capital (Section 44 of Law No. 27,349).
