Vidal, Alejandro J.

Bio

Alejandro graduated from the Universidad de Buenos Aires and is a member of the Corporate and Mergers & Acquisitions Practice groups. He joined the Firm in 2007.


Education

He received his LL.B. from the School of Law of the Universidad de Buenos Aires in 1993. He specialized in Corporate Law, Trusts, Finance and Banking Law and took tax law courses at the Universidad de Buenos Aires, Universidad Austral and the Argentine Association of Tax Studies. He completed the fifth year of the Accounting Degree Program at the School of Economic Sciences of the Universidad de Buenos Aires.

Specialization

In the Corporate Law area, Alejandro is part of a team of lawyers entirely dedicated to providing advice on corporate matters, and mergers and acquisitions to multinational companies doing business in Argentina.

Academic Activities

He has lectured extensively in Argentina on corporate issues (liability of directors and statutory auditors; reciprocal guarantee companies; mergers and acquisitions; tax-free reorganizations, among others) as well as on commercial issues (credit invoices; leasing; trusts as investment vehicles).

Askenasy, Florencia

Bio

Florencia graduated with honors from the Universidad de Buenos Aires. She is a member of the Corporate Law and Mergers & Acquisitions Practice groups. She joined the Firm in 2007.


Education

Florencia received her LL.B. from the School of Law of the Universidad de Buenos Aires, with honors, in 2001. Furthermore, she took an undergraduate course at Université Pantheón Assas – Paris II (France, 2000). She also took specialization courses on regulations of the Inspección General de Justicia (Superintendency of Corporations) and unification of the Argentine Civil and Commercial Codes at Fundación para la Investigación y Desarrollo de las Ciencias Jurídicas (Argentina).

Specialization

In the corporate law area, Florencia specializes in the provision of advice on matters related to business and corporate law to multinational companies doing business in Argentina, as well as on merger and acquisition transactions. Moreover, she renders advice on matters related to insurance law and in connection with the regulatory framework for the prevention of money laundering and terrorism financing.

Vallebella, Joaquín

Bio

Joaquín graduated from the Pontificia Universidad Católica Argentina. Partner in charge of the Department of Mediation & Arbitration and Complex Litigation of the Firm. He also stands out in areas of Corporate Law, Energy, Agribusiness, Contracts and Mergers & Acquisitions. He joined the Firm as a lawyer in 2011 and as a partner in 2017.


Education

He received his LL.B. from the Pontificia Universidad Católica Argentina in 1999 and has a Master´s Degree in Business Law from the Universidad Austral (2006). His thesis “El cambio de circunstancias en los contratos: perspectiva tradicional y tendencia moderna internacional en torno a este fenómeno” (The change of circumstances in contracts: traditional view and international modern trend regarding this phenomenon) got the highest grade. Furthermore, Joaquín pursued studies on International Business Transactions at the Southwestern University School of Law – California, United States of America (Universidad de Buenos Aires – Universidad del Salvador) Summer Law Studies in Argentina (May/June 2001).

Specialization

Joaquín specializes in international arbitration and in structuring national and international deals. He represents the Firm in ICC Argentina Commission on Arbitration.

He is a delegate to the ICC’s Commission on Arbitration & ADR (2022-2023) and was an ICC YAF Representative for Latin America for the 2014/2017 period.

Joaquín participated in more than 50 arbitrations under different Arbitration Regulations (ICC, UNCITRAL, Buenos Aires Stock Exchange, among others) and ad-hoc arbitrations, based in Argentina and abroad. At present, he represents Compañía Argentina Administradora del Mercado Mayorista Eléctrico (CAMMESA) in several arbitrations and legal proceedings related to renewable energy construction, generation, and supply projects. Furthermore, he is involved in legal proceedings related to the annulment of arbitration awards, petitions for precautionary measures, and enforcement of performance bonds. From 2020 to 2022, he represented CAMMESA in several arbitrations related to the RenovAr program, which involved breaches of contract, force majeure and hardship claims, and the application of penalty clauses. Most arbitrations were administered by the Permanent Court of Arbitration in the Hague.

He currently represents a mining company in an arbitration initiated in Argentina. Additionally, he represents a construction company in claims related to public works.

He has also participated in arbitrations related to disputes over the provision of turnkey plants, one of them related to the construction of a food facility in Argentina. He has also provided advice to international clients related to the negotiation and drafting of contracts and the resolution of disputes involving turnkey milk powder plants and the construction of dairy farms abroad.

He has represented companies in the Oil & Gas industry in disputes related to the construction of hydrocarbon exploration wells in international arbitrations, among others, and has also provided counsel in international arbitrations related to other infrastructure projects involving private parties and states.

He is Professor of the Arbitration Course in the Master of Economics and Law at the School of Law of the University of Buenos Aires and Visiting Professor in the Arbitration Diploma Program of the Austral University.

Joaquín was a member of the “Drafting and Monitoring Commission of the International Commercial Arbitration Draft Bill” appointed by Ministerial Resolution 1040 issued by the Argentine Ministry of Justice and Human Rights on December 26, 2017. The draft bill was enacted as International Commercial Arbitration Law 27,449 on July 4, 2018.

Academic Activities

He is regularly invited to participate as arbitrator in several arbitration competitions. He participated as arbitrator in the International Arbitration Competition at the School of Law of the Universidad de Buenos Aires and the School of Law of the Universidad del Rosario de Bogotá and in the FDI Moot Competition. Likewise, he was a jury member of the 1st Latin America Regional Pre-Moot Oral Rounds for the FDI Moot Competition in Buenos Aires, Argentina (2014). He has extensively lectured, both in Argentina and abroad, on issues related to international commercial arbitration.

He is the editor of the ICC Argentina Arbitration Newsletter, which was first published in November 2022.

Alvarez, Sebastián

Bio

Sebastián graduated from the Universidad de Buenos Aires. He chairs the Public Law Practice and co-chairs the Litigation and Arbitration Practice. He joined Brons & Salas in 2004.


Education

Sebastián received his LL.B. from the School of Law of the Universidad de Buenos Aires in 1993. He took a Graduate Course on Administrative Procedural Law at the Schoold of Law of the Universidad de Buenos Aires in 1993 and a Graduate Course on Telecommunications Law also at that University in 2006.

He also took a Postgraduate Course on Economic Administrative Law at the Universidad Católica Argentina (1996-1997).

Specialization

Sebastián has vast experience in providing all type of legal advisory services regarding government contracts and public services and also in connection with state-regulated activities (electricity, telecommunications, supply of drinking water, air and land transportation, gas transportation, among others), privatization processes, national, provincial and international bidding processes, condemnations and administrative easements.

Furthermore, as he has rendered professional services in the field of the Argentine electricity market since he joined Brons & Salas, he has specialized knowledge in the regulatory aspects of the electricity market.

He served as Clerk of a Federal Court hearing Administrative Litigation Matters, thus gaining great experience and expertise in contentious matters in administrative, judicial and arbitration proceedings, before authorities at the federal and provincial levels and in the City of Buenos Aires.

Academic Activities

Sebastián is a full professor of “Regulations II” in the Postgraduate Course on Administrative Law at the Universidad Católica de La Plata and an associate professor of “Administrative Law I” at the Universidad de la Matanza. In addition, he was a professor of Administrative Law at the School of Law of the Universidad de Buenos Aires.

Rodríguez Macías, María José

Bio

María José graduated with honors from the Universidad de Buenos Aires. She chairs the Intellectual Property, Antitrust, Consumer Protection and Fair Trade Practices at Brons & Salas. She joined the Firm in 1996.


Education

She received her LL.B. from the School of Law of the Universidad de Buenos Aires, with honors, in 1991. She also attended the Training Program in Management (FDP) at the School of Business of the Universidad Luigi Bocconi, (SDA Bocconi, Milan, Italy), the Training Program in Management (FDP) at the ESC Lyon (Lyon, France) and a Postgraduate Course in Business Law at Universidad Argentina de la Empresa (UADE).

Specialization

In relation to the Intellectual Property Law practice, she leads a team of 5 lawyers and administrative personnel specialized in the matter and engaged in providing advice on strategies for the management, preservation and defense of the intangible assets of multinational companies doing business in Argentina, as well as local companies that intend to expand internationally.

María José also coordinates and manages global trademark and patent portfolios for her local and foreign clients. To that end, the IP Department of which she is in charge has built a network of correspondents in more than 70 countries, who are capable of providing immediate response in cases of global launches of products and/or services by Brons & Salas’ clients.

Regarding Antitrust Law, she provides advice to foreign investors who desire to invest in Argentina through the acquisition of companies, as well as through M&As conducted abroad with effects within the Argentine territory.

The Antitrust Practice group has vast experience in matters involving anti-competitive practices and does not only provide advice to its clients in such regard but also offers training programs for their top-level management for the implementation of good business practices in line with the global policies of their international peers.

María José has been invited to participate in different forums, panel discussions and conferences in relation to both Intellectual Property and Antitrust Law.

Academic Activities

For more than 20 years she has been a professor of Intellectual Property Law at the Universidad Argentina de la Empresa (UADE) and a visiting professor of the Business Law Master’s Degree Program (MADE) at said University.

Fernández Verstegen, Javier A.

Bio

Javier graduated from the Pontificia Universidad Católica Argentina. He chairs the Labor Law and Social Security Practices. He joined the Firm in 2000.


Education

He received his LL.B. from the School of Law of the Universidad Católica Argentina in 1995. He also took a Master’s Degree Course on “Law and Companies” at the Universidad de Palermo (Argentina, 2003-2004), a Pre-Masters’ Degree Course at the Universidad Austral (Argentina, 1997) and he participated in many national and international courses, seminars and conferences on Labor and Social Security Law.

Specialization

In the Labor Law Practice, Javier leads a group of lawyers devoted to provide assistance in connection with individual and collective labor relations to a portfolio of multinational and national companies. He also advises on negotiations of collective bargaining agreements, collective labor disputes, labor aspects related to mergers and acquistions and, in general, on any kind of affairs related to labor relations. Javier also handles and manages the day-to-day affairs and litigation matters of several clients of the Firm, focusing his advice on the prevention and analysis of contingencies, understanding the needs and interests of each specific client and providing tailored-made advice for the achievement of the goals set. The Firm’s Labor Law Practice is recommended in international publications and Javier has been mentioned individually in publications such as Chambers & Partners Latin America, The Legal 500, among others.

Academic Activities

Javier was assistant professor of Individual Relations of Labor Law and Elements of Labor Law at the School of Law of the Universidad de Buenos Aires and associate professor of the Law and Business Master’s Degree Program of the Universidad de Palermo. He has been lecturer, speaker and panelist in courses and conferences on Labor and Social Security Law in different organizations and events.

Cáceres, Leandro H.

Bio

Leandro graduated from the Universidad de Buenos Aires, where he specialized in Tax Law. He chairs the Tax Law Practice. He joined the firm in 1997.

Leandro received his LL.B. from the School of Law of the Universidad de Buenos Aires in 1995. In addition, he took a graduate course on Tax Law at the Universidad Austral (Argentina, 2001). He also did a Graduate Course on Finance and Tax Law at the Universidad de Belgrano (Argentina, 1996). In 2005, he attended the Academy of American and International Law, The Center of American and International Law (formerly known as The Southwestern Legal Foundation – University of Texas), Dallas, USA.

Specialization

In the Tax Law Practice, Leandro has gained vast experience in providing advice on national, provincial and municipal taxes as well as on tax planning at both local and international levels.

He also has wide experience in corporate acquisition, reorganization, merger and spin-off proceedings and in transfers of going concerns, giving advice to maximize tax benefits and consummate transactions efficiently.

In tax litigation matters, Leandro has represented many clients of the Firm in all sorts of administrative proceedings related to inspections, verifications and assessments of taxes and investigation proceedings for formal and material infringements and has pursued them before administrative authorities, tax courts and the national and provincial courts of law.

Brusco, Pablo Daniel

Bio

Pablo graduated from the Universidad de Buenos Aires. He is a member of the Litigations & Arbitration, Corporate Law, and Mergers and Acquisition Practice groups. He joined the Firm in 1992.


Education

Pablo received his LL.B. from the School of Law of the Universidad de Buenos Aires in 1987. He also attended the Academy of American and International Law, The Center for American and International Law (formerly known as The Southwestern Legal Foundation), University of Texas, Dallas (2001) and did courses on “Trusts” and “Advertising and Law” at Universidad Austral.

Specialization

In relation to the Litigation & Arbitration area, he has extensive experience in civil and commercial litigation, representing local and international clients from a wide range of industries, such as mass consumption, banks, auto makers, advertising agencies, consumer law, intellectual property, and so on. He has also advised domestic and foreign creditors vis-à-vis insolvent and bankrupt companies. In the Corporate Law area, he has vast experience in contracts, advising clients on any type of national and international contracts, and has assisted a broad range of domestic and foreign companies from different industries in corporate disputes and purchases and sales of other domestic and foreign companies.

Malm Green, Guillermo

Bio

Guillermo graduated with honors from the Universidad de Buenos Aires. He chairs the Environmental Law Practice and co-chairs the Corporate and Mergers & Acquisitions Practices at Brons & Salas. He joined Brons & Salas in 1990 and is a partner since 1997. He is also member of the Executive Committee of the Firm.


Education

Guillermo received his LL.B. from the School of Law of the Universidad de Buenos Aires, with honors, in 1989. He also took courses in International Environmental Law at the Southwestern University School of Law, Summer Law Program (Argentina, 1993), and attended the Academy of American and International Law, The Center for American and International Law (formerly, The Southwestern Legal Foundation) of the University of Texas, Dallas, in 1994. He was also member of the Allen & Overy alumni network in 1998-1999.

Specialization

In relation to the Corporate Law practice, Guillermo leads a team of ten lawyers entirely dedicated to providing advice on corporate matters, and mergers and acquisitions to multinational companies doing business in Argentina.

Regarding his specialization in environmental law, his practice has specific focus on due diligence, environmental housekeeping and litigation. His clients include, among many others, companies engaged in the automobile, pharmaceutical, chemical, energy, mining and food industries.

He has lectured extensively on environmental and corporate issues, both in Argentina and abroad.

Guillermo has been constantly ranked in the top tier of environmental and corporate legal advisers in Chambers Global from 2009 to date.

Guillermo is Vice President of the Environmental Law Committee of the American Chamber of Commerce in Argentina. He has also been Country Chair (Argentina) of the International Section of the New York State Bar Association, former Co-Chair of the Latin American & Caribbean Committee (2009-2010) of the International Section of the American Bar Association and current Senior Advisor of such committee. Guillermo is Vice Chair of the International Environmental Law Committee, International Section, of the American Bar Association. Bio

Eduardo graduated from the Universidad de Buenos Aires. He chairs the Financial Law Practice and co-chairs the Corporate Law and Mergers & Acquisitions Practices at Brons & Salas. He is a member of the Executive Committee of Brons & Salas.


Education

He received his LL. B from the School of Law of the Universidad de Buenos Aires in 1972. In 1988, he attended the Academy of American and International Law, Center for American and International Law (formerly, The Southwestern Legal Foundation), at the University of Texas in Dallas.

Specialization

Eduardo has experience in advice on corporate, regulatory, and litigation matters to numerous multinational companies doing business in Argentina.

He has also advised several domestic and international commercial clients and financial institutions, as well as multilateral organizations, on banking and financial transactions in general.

In addition, he has wide experience in the financing of projects and in advice to issuers and investment banks concerning the public offering of bonds, shares, and other securities.

Eduardo is and has been a member of boards of directors and statutory auditors’ committees of renowned national and international companies.

Academic Activities

He was a Professor of Political Economy at the School of Law of the Universidad de Buenos Aires (1974-1979).
